These Terms of Use govern your access to and use of the Procure Partners website (procurepartners.co.uk) and membership services. By accessing our website or signing up for membership, you agree to these terms. If you do not agree, please do not use our services.

2. Membership Terms

Membership with Procure Partners is free. There are no subscription fees, joining fees, or administration charges. Membership is subject to the following conditions:

  • You are a registered UK business or a sole trader operating in the United Kingdom.
  • You are authorised to submit invoices and enter into procurement discussions on behalf of your business.
  • You agree to provide accurate and complete information when registering and submitting invoices for review.
  • You may cancel your membership at any time with no notice period and no penalty.

Procure Partners reserves the right to suspend or terminate membership where information provided is found to be materially inaccurate or where a member acts in a manner that is harmful to other members or to the integrity of the group purchasing network.

3. Invoice Reviews and Senior Analyst Reviews

The Senior Analyst Review is provided free of charge as part of membership. The following terms apply:

  • Invoice data submitted for review must relate to your own business and must not include personal data belonging to third parties beyond what is necessary for the review.
  • You confirm that you have the right to share the invoices submitted.
  • Procure Partners will process invoice data in accordance with our Privacy Policy.
  • The savings report produced following a review is for your internal use only. It may not be shared with suppliers, competitors, or third parties without the prior written consent of Procure Partners.
  • The Clean Bill of Health certificate, where issued, confirms pricing competitiveness at the time of review. It does not constitute a guarantee of pricing stability or future competitiveness.

4. Supplier Contracts

Where a member elects to access a group supplier contract following a review:

  • The contract is entered into directly between the member and the supplier.
  • Procure Partners is not a party to the supplier contract and accepts no liability for supplier performance, product quality, or service delivery under that contract.
  • The commission earned by Procure Partners from the supplier is disclosed in the member's savings report and available on written request at any time.
  • Members are free to negotiate directly with suppliers and are not obligated to use the group contract rates presented in the review.

5. Confidentiality

Procure Partners treats all invoice data, pricing information, and commercial details submitted by members as strictly confidential. We will not share this information with suppliers, competitors, or third parties without your explicit written consent, except as required by law.

Members agree to treat any benchmarking data, group rate information, or proprietary methodology disclosed by Procure Partners as confidential and not to disclose it to any third party without prior written consent.

6. Intellectual Property

All content on the Procure Partners website, including text, graphics, tools, calculators, reports, and brand assets, is the property of Procure Partners LTD. You may not reproduce, distribute, or use any content for commercial purposes without our prior written consent.

7. Limitation of Liability

Procure Partners provides invoice review and benchmarking services in good faith based on the information submitted by members and the group rate data available at the time of review. We do not guarantee specific savings outcomes.

To the maximum extent permitted by law, Procure Partners accepts no liability for:

  • Any savings not achieved following a review and contract transition.
  • Any disruption to supplier relationships arising from a member's decision to act on review findings.
  • Any indirect, consequential, or economic loss arising from reliance on information provided by Procure Partners.

8. Website Use

You agree not to use the Procure Partners website for any unlawful purpose, to attempt to gain unauthorised access to any part of the website or its systems, or to transmit any harmful, offensive, or disruptive content. Procure Partners reserves the right to restrict or terminate access to the website at any time without notice.

9. Governing Law

These Terms of Use are governed by the laws of England and Wales. Any disputes arising from these terms or from your use of our services will be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to These Terms

We may update these Terms of Use from time to time. Significant changes will be communicated by email or by a notice on our website. Continued use of our services following notice of changes constitutes acceptance of the updated terms.
